Franchising in Pennsylvania Without a State Filing

The absence of a state franchise filing law does not mean there are no rules. Delaware does not require franchise registration or filing at the state level. The federal FTC Franchise Rule governs franchise sales. Many franchisors incorporate in Delaware due to its favorable corporate laws, but this is separate from franchise regulatory requirements.
